Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Taskbaba, owned and operated by Hire Talent Africa LLC, a company registered in New Mexico, United States of America ("we," "us," or "our").

By accessing or using our virtual assistant services platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

We reserve the right to modify these Terms at any time. Material changes will be notified to you, and your continued use of our services after such changes constitutes acceptance of the updated Terms.

Virtual Assistant Services

Taskbaba provides a platform that connects clients with professional virtual assistants ("VAs") located primarily in Africa. Our services include:

• Matching clients with qualified virtual assistants based on their requirements
• Managing virtual assistant relationships and performance
• Facilitating communication and collaboration tools
• Providing quality assurance and oversight
• Handling billing and payment processing

We act as an intermediary platform. The actual work is performed by independent virtual assistants who are not employees of Taskbaba or Hire Talent Africa LLC.

Service Scope

Virtual assistants can assist with various business tasks including, but not limited to:

• Administrative tasks and email management
• Customer service and support
• Data entry and CRM management
• Social media management and content creation
• Research and lead generation
• Bookkeeping and accounting support
• Project management and coordination

Specific tasks and responsibilities will be agreed upon between you and your assigned virtual assistant.

Eligibility

To use our services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into contracts
• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or use

Account Responsibilities

You are responsible for:

• All activities that occur under your account
• Maintaining the confidentiality of your account information
• Ensuring that all information you provide is accurate and up to date
• Compliance with all applicable laws and regulations

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or illegal activities.

Pricing Structure

Our pricing is based on hourly rates for virtual assistant services:

• General VAs: Starting at $5 per hour
• Pro VAs: Starting at $8 per hour
• Specialized roles may have different rates as specified in your agreement

All prices are in USD unless otherwise specified. Minimum hours per week may apply as specified during the matching process.

Billing and Payment Terms

Billing Cycles: You will be billed weekly or monthly based on actual hours worked, as specified in your service agreement.

Payment Methods: We accept credit cards, debit cards, bank transfers, and PayPal. All payments must be made in advance or according to the billing cycle agreed upon.

Late Payments: Late payments may result in suspension of services. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month.

Refunds: Refunds are handled on a case-by-case basis. If you are not satisfied with service quality, contact us within the first week to discuss resolution options, which may include replacement of the virtual assistant.

No Setup Fees

There are no setup fees, placement fees, or hidden costs. You only pay for hours worked by your virtual assistant.

Matching Process

We will match you with a virtual assistant based on your requirements. You will have the opportunity to interview candidates before finalizing the match. We aim to complete the matching process within 5 business days.

Replacement Policy

If you are not satisfied with your virtual assistant for any reason, we offer free replacements. Contact us, and we will work to match you with a new virtual assistant within a reasonable timeframe.

Quality Assurance

We provide ongoing quality assurance and performance monitoring. However, you are responsible for:

• Providing clear instructions and expectations to your virtual assistant
• Communicating feedback and concerns promptly
• Monitoring work quality and providing guidance

Time Tracking

Virtual assistants are required to track their work hours accurately. You will receive time reports and can review time logs. Disputes regarding hours worked should be reported within 7 days of the billing period.

Legal and Ethical Use

You agree to use our services only for lawful purposes. You will not:

• Request virtual assistants to perform illegal activities or violate laws
• Ask virtual assistants to misrepresent themselves or your business
• Use services in a way that infringes on intellectual property rights
• Engage in harassment, discrimination, or abusive behavior
• Request work that violates confidentiality agreements or ethical standards

Confidentiality and Data Protection

You are responsible for:

• Ensuring that any information shared with virtual assistants can be legally shared
• Protecting sensitive data and implementing appropriate security measures
• Complying with data protection laws applicable to your jurisdiction
• Obtaining necessary consents before sharing personal information

Communication Standards

Maintain professional and respectful communication with virtual assistants. Any instances of harassment, discrimination, or unprofessional behavior may result in termination of services without refund.

Work Product

Work performed by virtual assistants specifically for you ("Work Product") is generally considered work-for-hire. Unless otherwise agreed in writing:

• You own the Work Product created specifically for your business
• Virtual assistants retain rights to any pre-existing intellectual property they contribute
• Work Product ownership is subject to any applicable laws and specific agreements

Platform Intellectual Property

All content, features, and functionality of the Taskbaba platform, including but not limited to text, graphics, logos, and software, are owned by Hire Talent Africa LLC and protected by copyright, trademark, and other intellectual property laws.

Service Availability

We strive to provide reliable services but do not guarantee uninterrupted, error-free, or completely secure service. We are not liable for delays, outages, or technical issues beyond our reasonable control.

Limitation of Damages

To the maximum extent permitted by law:

• Our total liability for any claims arising from or related to these Terms or our services shall not exceed the total amount you paid to us in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for losses resulting from actions or omissions of virtual assistants beyond our reasonable control

No Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Termination by You

You may cancel your services at any time by providing written notice. You remain responsible for payment of services rendered up to the termination date. There are no penalties for cancellation, but outstanding balances must be settled.

Termination by Us

We may suspend or terminate your access to our services if you:

• Violate these Terms or any applicable laws
• Engage in fraudulent, illegal, or harmful activities
• Fail to pay amounts due when owed
• Misuse our platform or services
• Harass, abuse, or mistreat virtual assistants or our staff

Effect of Termination

Upon termination, your right to use our services will immediately cease. All outstanding fees remain due and payable. We may retain your information as necessary for legal, regulatory, or business purposes.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Mexico, United States of America, without regard to conflict of law principles.

Dispute Resolution Process

In the event of any dispute arising from or relating to these Terms or our services:

• Informal Resolution: First, contact us to attempt to resolve the dispute informally
• Mediation: If informal resolution fails, disputes may be resolved through mediation
• Arbitration: If mediation is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association

Jurisdiction

Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in New Mexico, United States of America, and you consent to the jurisdiction of such courts.

Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements entered into, constitute the entire agreement between you and Taskbaba regarding the use of our services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
